TERMS OF USE OF ONEJECT E-PROCUREMENT

1. GENERAL PROVISIONS

  1. 1. Procurement of goods and/or services through OJI e-Procurement refers to and is subject to OJI's internal provisions regarding procurement and/or vendor management, as well as the laws and regulations in force in the Republic of Indonesia.
  2. 2. Every OJI e-Procurement user is required to comply with all laws and regulations and all provisions stipulated by OJI in connection with the procurement of goods and/or services.
  3. 3. Transactions conducted in and through OJI e-Procurement, including the use of networks connected to services and the transmission of technical data both within Indonesia and outside Indonesia through this system, must comply with applicable laws and regulations and all provisions stipulated by OJI.
  4. 4. All information, news, data, questions and answers, and other content contained in the OJI e-Procurement forum or communication features may first be selected and/or reviewed by OJI before being uploaded or displayed.
  5. 5. OJI reserves the right to adjust, improve, add or reduce these Terms of Use at any time with or without prior notice.
  6. 6. Every OJI e-Procurement user is bound and subject to any changes to the provisions as referred to in point 5 above, whether in the form of improvements, additions or reductions.
  7. 7. OJI does not charge any fees from Vendors in any procurement process, including in the registration process and/or maintenance of Vendor status.
  8. 8. OJI e-Procurement is an application system that is fully controlled by OJI. All stored data will be managed and protected in accordance with applicable data protection provisions and OJI's internal policies.

2. VENDOR TERMS IN OJI e-PROCUREMENT

  1. 1. Every Vendor who will carry out procurement transactions in OJI e-Procurement is required to register and fill in the data in the system completely, correctly, and accurately according to the actual conditions.
  2. 2. Vendors who are interested in registering as Vendors in OJI e-Procurement are required to fulfill all registration requirements set by OJI and are then subject to an evaluation process in accordance with the provisions applicable at OJI.
  3. 3. OJI has the right to request other supporting documents from prospective Vendors if necessary in the registration evaluation process and/or periodic evaluation.
  4. 4. OJI has the right to conduct due diligence, including but not limited to site visits, requests for confirmation from related parties, as well as verification or validation of the validity/correctness/authenticity of documents and/or requesting additional documents from Vendors for each Vendor selection and/or assessment process requirement from time to time.
  5. 5. OJI at its sole discretion has the right not to process, delay, or reject documents and/or applications that have been provided without the obligation to provide reasons to the Vendor.
  6. 6. Vendors can be involved in the procurement process through OJI e-Procurement if they have received an electronic letter (email) or notification confirming account activation as a Vendor in OJI e-Procurement.
  7. 7. Vendors are required to update the data and information submitted in OJI e-Procurement if it is no longer in accordance with the actual conditions. If there is a discrepancy between the data recorded in OJI e-Procurement and the actual conditions, then OJI has the right to not include the Vendor in the procurement process and the Vendor releases OJI from all forms of claims, objections, and responsibilities for the decision in question.
  8. 8. The vendor is willing to accept all OJI decisions regarding the procurement process conducted through OJI e-Procurement. OJI's decisions are final and cannot be contested.
  9. 9. By registering as a Vendor in OJI e-Procurement, the Vendor is deemed to agree to release OJI and all and every member of the board of directors, board of commissioners and employees from:
    1. a. Any misuse of the Vendor's User Name/ID and password; Any damage and/or loss, whether direct or indirect, including but not limited to loss of profits, loss of use of data, or other non-material losses caused by:
      1. • use or inability to use the system;
      2. • unauthorized use of access or transmission of data;
      3. • statements or actions of third parties in the system;
      4. • other matters related to the OJI e-Procurement system;
    2. b. Any claims from third parties in connection with offers or information entered by Vendors into or through the OJI e-Procurement system;
    3. c. Any use and/or connection (interconnection) of the OJI e-Procurement system by the Vendor;
    4. d. Any violation of these Terms of Use and/or instructions from OJI or violation of the rights of other parties; and/or
    5. e. Failure to implement the OJI e-Procurement program or system caused by force majeure, namely something that is beyond OJI's control including but not limited to natural disasters, strikes, riots, war, infectious diseases/pandemics, government regulations in effect after the incident, fire, failure/damage to communication channels, lack of electricity, earthquakes, or other catastrophic events.

3. RESPONSIBILITIES OF OJI e-PROCUREMENT VENDOR ACCOUNT USERS

  1. 1. The vendor as the owner of the user ID and password is fully responsible for the confidentiality of his access credentials and is responsible for all transactions and other activities that use the account.
  2. 2. Data and/or offers sent by Vendors via OJI e-Procurement and recorded on the OJI e-Procurement server are legally valid data and/or offers and are deemed to originate from the Vendor who owns the account.
  3. 3. The vendor agrees to immediately notify OJI if he becomes aware of misuse of his account by other unauthorized parties, or if there is a security breach of his account.
  4. 4. Any attempt to penetrate the computer system, hack, change or manipulate data in OJI e-Procurement is an unlawful act and may be subject to sanctions in accordance with applicable laws and regulations.
  5. 5. Misuse of the Vendor account is the full responsibility of the Vendor and may be subject to sanctions in accordance with the provisions applicable to OJI and applicable laws and regulations.
  6. 6. Vendors are responsible for maintaining, updating, and adjusting their business documents to ensure compliance with applicable laws and regulations. Failure to comply with these requirements is the sole risk and responsibility of the Vendor.

4. PRIVACY POLICY AND USER PERSONAL INFORMATION

  1. 1. This Privacy Policy explains how OJI obtains, collects, uses, displays, announces, discloses, processes, opens access to, stores, sends, provides, shares, manages, destroys, protects, and/or collaborates with third parties on user personal data, including but not limited to names, addresses, identity numbers, telephone numbers, email addresses, and other information ("Personal Data") provided when using OJI e-Procurement, as well as data related to transactions conducted through OJI e-Procurement ("Transaction Data").
  2. 2. The Personal Data referred to does not include data that is legally available to the public.
  3. 3. This Privacy Policy is an integral part of the OJI e-Procurement Terms of Use. By using OJI e-Procurement and all services therein, the Vendor is deemed to have read, understood, and agreed to the Terms of Use and this Privacy Policy.

5. COLLECTION OF PERSONAL DATA AND/OR TRANSACTION DATA

  1. 1. Personal Data may be provided by the Vendor directly at the time of:
    1. a. perform initial registration as a Vendor;
    2. b. make profile updates and/or complete documents; and/or
    3. c. using certain features or services in OJI e-Procurement.
  2. 2. Transaction Data is obtained every time a Vendor performs an activity in OJI e-Procurement, including but not limited to filling out offers, participating in tenders, confirming orders, and other activities related to the procurement process.
  3. 3. OJI can collect data from various legitimate sources in accordance with statutory regulations, including historical data that has previously been submitted to OJI as long as it is necessary to support the smooth running of business and procurement processes.
  4. 4. Provision of Personal Data is voluntary. However, if Personal Data is not provided correctly, completely, and accurately, OJI may not be able to process registrations, transactions, or provide OJI e-Procurement services optimally.

6. USE OF PERSONAL DATA AND/OR TRANSACTION DATA

The Vendor hereby gives express consent to OJI and/or the OJI Group to utilize Personal Data and/or Transaction Data for purposes including but not limited to:
  1. 1. Supporting the implementation of Vendor registration, evaluation, qualification and management processes.
  2. 2. Processing, following up, and recording all goods/services procurement activities carried out through OJI e-Procurement.
  3. 3. Respond to questions, comments, complaints, and/or requests for information from Vendors.
  4. 4. Communicating with Vendors through various media (system notifications, electronic mail, or other legitimate means of communication)
  5. 5. Carry out internal administrative activities, including but not limited to audits, compliance, and taxation.
  6. 6. Conducting analysis, development, and improvement of the quality of services, systems, and procurement processes at OJI.
  7. 7. Carry out OJI obligations in accordance with applicable laws and regulations.
  8. 8. Other legitimate business purposes as long as they are directly related to the procurement and management of Vendors at OJI.

7. PROVISION AND DISCLOSURE OF PERSONAL DATA AND/OR TRANSACTION DATA

  1. 1. The Vendor hereby gives express consent that OJI has the right to collaborate with third parties in the context of Utilizing Personal Data and/or Transaction Data, as long as it is in accordance with the provisions of applicable laws and regulations.
  2. Third parties as referred to may include, but are not limited to:
    1. a. Companies providing information technology services (including infrastructure, cloud computing, software, information security systems, data analysis services, and other supporting services) appointed by OJI;
    2. b. Payment transaction processing service provider (if relevant to the transaction mechanism used);
    3. c. Professional consultants and external auditors, including legal consultants, financial consultants, and auditors;
    4. d. Government authorities, regulatory agencies, and/or other authorized agencies, both within and outside the territory of the Republic of Indonesia in accordance with the provisions of laws and regulations;
    5. e. OJI subsidiaries and/or affiliates as long as they are related to Vendor management and/or procurement processes.
  3. 2. Disclosure of Personal Data and/or Transaction Data to third parties will be carried out fairly, proportionally, and only to the extent necessary to achieve the objectives as set out in the Terms of Use and this Privacy Policy.

8. MANAGEMENT AND SECURITY OF PERSONAL DATA AND/OR TRANSACTION DATA

  1. 1. OJI will make reasonable efforts to protect Personal Data and/or Transaction Data stored in OJI e-Procurement in accordance with applicable security standards and relevant statutory provisions.
  2. 2. OJI may store and process Personal Data and/or Transaction Data on servers or data centers designated by OJI, including those managed by third parties and/or located outside the territory of the Republic of Indonesia, as long as they comply with applicable laws and regulations.
  3. 3. The Vendor understands that no system is completely free from risk. OJI is not responsible for any losses arising from damage or loss of Personal Data and/or Transaction Data that occurs beyond OJI's reasonable control.
  4. 4. The vendor is obliged to maintain the confidentiality of the user ID and password, and not to disclose them to any party. All consequences arising from negligence in maintaining the confidentiality of access credentials are the full responsibility of the vendor.

9. UPDATES AND CHANGES TO PERSONAL DATA

  1. 1. The vendor is responsible for ensuring that the Personal Data and/or business data submitted to OJI is correct, complete, up-to-date, and in accordance with actual conditions.
  2. 2. Vendors can submit updates to Personal Data and/or business data through the mechanisms provided in OJI e-Procurement or through official contacts appointed by OJI.
  3. 3. The Vendor understands that the withdrawal of certain consents for the use of Personal Data may result in limited access or termination of some/all of OJI's e-Procurement services, as long as it is still legally permitted.

10. USER AGREEMENT

By registering, accessing, and/or using OJI e-Procurement, the Vendor hereby declares and warrants that:
  1. 1. Have read, understood, and agree to these Terms of Use and Privacy Policy;
  2. 2. Personal data and/or business data submitted to OJI is true, complete, obtained legally, and the Vendor has full rights to provide it to OJI; and
  3. 3. Give express consent to OJI to utilize Personal Data and/or Transaction Data as regulated in these provisions.

11. OTHER PROVISIONS

  1. 1. These Terms of Use and Privacy Policy are governed by and construed in accordance with the laws applicable in the Republic of Indonesia.
  2. 2. Any dispute or controversy arising in connection with the implementation or interpretation of these Terms of Use and/or Privacy Policy will be resolved first through deliberation to reach a consensus.
  3. 3. If no consensus is reached within a reasonable time, the dispute will be resolved through a dispute resolution mechanism agreed upon by the parties in accordance with the provisions of the laws and regulations in force in Indonesia.
